We advise and assist clients with business formation (corporations, limited liability companies, partnerships, etc.), private placements of securities under Regulation D of the Securities Act of 1933 and Blue Sky laws, including stock, equity, bonds, and debt instruments, advise Board of Directors, and other general corporate matters. We also have significant experience with mergers and acquisitions, purchase & sale of businesses or assets (including intellectual property), buy-sell agreements, and matters related to disposition of interests.
We represent individuals and companies in the acquisition, development, financing, sale and leasing of residential and commercial real estate, including matters relating to land title, conveyances, subdivisions, zoning, CC&R’s, and HOA’s.
We have been actively involved in counseling our clients on the challenges and opportunities in the American energy industry, including negotiating project finance, the acquisition, development and drilling of oil & gas leases, farmout agreements, joint operating agreements, and related oil & gas matters.

J. David Gowdy has practiced law since 1982. He is a member of the Texas and California Bar Associations. He graduated from Kansas State University, with a B.A. degree, Phi Beta Kappa, and received his J. D. degree from the J. Reuben Clark Law School at BYU, Cum Laude, where he was an Associate Editor of the BYU Law Review and a member of the International Moot Court Team. In addition to practicing law, he has co-founded several businesses including real estate, energy, and motion picture companies. Dave Horger, Jr., Of Counsel. Mr. Horger has practiced law in Texas for over 60 years. He received his Doctorate of Jurisprudence degree from Baylor University in 1950. He previously owned and managed Southwest Land Title in Hurst, Texas, and has been active for many years in Rotary International, the Tarrant County Bar Association, and the Fort Worth Petroleum Club.
